These Terms of Service ("Terms") govern your access to and use of the ShopItUp website, application, and browser extension (together, the "Service"), operated by ShopItUp ("ShopItUp", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
ShopItUp is a multi-channel selling tool that helps online resellers manage inventory and automate tasks on the third-party marketplaces and services they connect (such as Poshmark, Shopify, and Google Merchant Center). The Service acts only on your own connected accounts, at your direction.
You must be at least 18 years old and able to form a binding contract. You are responsible for the information you provide, for keeping your password secure, and for all activity under your account. Notify us promptly of any unauthorized use.
Paid plans and any add-ons are billed through our payment processor (Stripe) on the cycle shown at purchase. Free trials, if offered, convert to paid only if you add a payment method and do not cancel before the trial ends. You can cancel at any time; cancellation stops future charges but does not refund the current period unless required by law. Prices and plan features may change on notice.
You are solely responsible for your use of each third-party marketplace or service you connect, and for complying with that platform's own terms of service, policies, and rules. You represent that you are authorized to connect and automate the accounts you link, and that your use of automation features (including listing, sharing, relisting, and syncing) complies with the applicable platform's terms. Marketplaces may independently limit, suspend, or take action on your account for any reason; ShopItUp is not responsible for actions taken by any third-party platform against your account, and you use automation features at your own risk. You are responsible for the accuracy and legality of the content you list and sell.
You agree not to: use the Service to violate any law or third party's rights; access accounts you are not authorized to use; interfere with or disrupt the Service; reverse engineer, resell, or misuse the Service except as permitted; or attempt to gain unauthorized access to our systems or data.
The Service integrates with third-party platforms and providers (e.g. Poshmark, Shopify, Google, Stripe). Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, or their actions.
The Service, including its software, design, and content (excluding your data), is owned by ShopItUp and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. You retain ownership of your own data and content, and grant us the limited rights needed to operate the Service for you.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will achieve any particular selling or sharing result.
To the maximum extent permitted by law, ShopItUp will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the three (3) months before the claim.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (e.g. 4, 7–9, 11) will survive.
We may update these Terms from time to time. Material changes take effect on the "Last updated" date above, and your continued use of the Service after changes means you accept them.
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law rules. (Adjust to your actual jurisdiction before commercial launch.)
